Terms of Service

1. What these Terms cover — and what they don’t

These Terms apply to the public website only.

They do not govern use of the Helix iQ platform or any other Coded IQ product or service. Access to Helix iQ is governed by a separate written agreement between Coded IQ and the customer organization — typically a master subscription agreement, order form, and data processing addendum. Nothing on the Site grants you any right to access or use Helix iQ, and in the event of a conflict between these Terms and a signed customer agreement, the signed agreement controls with respect to the products and services it covers.

2. Eligibility

The Site is intended for business use by individuals who are at least 18 years old and able to form a binding contract. If you use the Site on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and “you” refers to that organization.

3. Permission to use the Site

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site for your own internal business or personal evaluation purposes. All other rights are reserved.

You may download or print materials we make publicly available (such as white papers or datasheets) for internal use, provided you do not remove any proprietary notices.

4. Restrictions

You agree not to:

• Copy, reproduce, republish, frame, mirror, sell, or commercially exploit any part of the Site without our prior written consent
• Use the Site to develop a competing product or service, or to benchmark it for a competitor, without our prior written consent
• Scrape, crawl, harvest, or use automated means to extract data from the Site, except that publicly accessible search engines may index it in accordance with our robots.txt
• Use the Site’s content, including text and images, to train or fine-tune machine learning or artificial intelligence models
• Reverse engineer, decompile, or attempt to derive the source code of any software made available through the Site
• Probe, scan, or test the vulnerability of the Site or breach or circumvent any security or authentication measure
• Interfere with or disrupt the Site, including through denial-of-service attacks, excessive request volume, or introducing malware
• Impersonate any person or entity, or misrepresent your affiliation
• Submit false, misleading, or unlawful information through any form
• Use the Site in violation of any applicable law, including export control and sanctions laws
• Remove, obscure, or alter any copyright, trademark, or other proprietary notice

Security research

We welcome good-faith vulnerability reports. If you believe you have found a security issue, contact info@codediq.ai before disclosing it publicly.

5. Intellectual property

The Site and all content on it — including text, graphics, logos, icons, images, audio, video, software, page layout, and the selection and arrangement of content — is owned by Coded IQ or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Coded iQ™, Helix iQ™, our logos, and our product names are trademarks or service marks of Coded IQ, Inc., with applications pending before the United States Patent and Trademark Office. You may not use them without our prior written permission, except in factual references that do not imply endorsement or affiliation. Third-party names and logos on the Site are the property of their respective owners, and their appearance does not imply endorsement by or of Coded IQ.

6. Your submissions and feedback

If you submit information through a form, email us, or otherwise send us content (“Submissions”), you represent that you have the right to do so and that the Submission does not infringe anyone’s rights or violate any law.

Feedback. If you send us suggestions, ideas, feature requests, or other feedback about our products or the Site, you grant Coded IQ a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable license to use, reproduce, modify, and otherwise exploit that feedback for any purpose, without compensation, attribution, or obligation to you. We will treat feedback as non-confidential unless we have a written confidentiality agreement with you that says otherwise.

Confidential information. Do not send us confidential or proprietary information through the Site’s public forms or general email addresses. Information submitted that way is not subject to any obligation of confidentiality unless covered by a signed non-disclosure agreement.

7. Communications

By providing your contact information, you agree that we may contact you about your inquiry and about our products and services. You can opt out of marketing communications at any time using the unsubscribe link or by emailing us; we will still send transactional messages related to your requests. If you provide a phone number, you consent to being contacted at that number in connection with your inquiry.

8. Product information, forward-looking statements, and roadmap

Content on the Site describes Coded IQ products, including capabilities that are under development or planned. The site footer carries a short version of this disclaimer; this section is the full statement it points back to. Descriptions of future functionality, timelines, availability, performance, and roadmap items are for informational purposes only, are not commitments or guarantees, and are subject to change or cancellation at our sole discretion. Do not rely on them in making a purchasing decision. Any commitment regarding features, timing, or performance is binding only if made in a signed written agreement.

Performance figures, benchmarks, metrics, and customer results shown on the Site reflect particular environments and configurations. Your results will vary. Nothing on the Site constitutes a warranty of any kind.

9. Third-party sites and services

The Site links to and embeds third-party websites, tools, and services, including our analytics providers, our customer relationship management provider, and our meeting scheduling tool. We do not control those services, are not responsible for their content, availability, or practices, and their inclusion does not imply endorsement. Your use of a third-party service is governed by that party’s own terms and privacy policy. What these services collect, and your choices about it, are described in our Privacy Policy.

10. Privacy

Our collection and use of personal information through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference.

11. Disclaimers

THE SITE AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODED IQ DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT ON THE SITE, AND YOU RELY ON IT AT YOUR OWN RISK.

Nothing on the Site constitutes legal, financial, tax, or professional advice.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODED IQ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Coded IQ and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Site, your Submissions, or your violation of these Terms or applicable law.

14. Availability and changes to the Site

We may modify, suspend, or discontinue the Site or any part of it at any time, with or without notice. We are not liable to you or any third party for doing so.

15. Termination

We may suspend or terminate your access to the Site at any time, for any reason, without notice. Sections 4 through 6 and 11 through 18 survive termination.

16. Governing law and venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of Georgia, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and Coded IQ agree that any suit, action, or proceeding will be brought exclusively in the Superior Court of Fulton County, Georgia, or the United States District Court for the Northern District of Georgia, Atlanta Division. Each party consents to personal jurisdiction and venue in those courts and waives any objection based on inconvenient forum.

17. Dispute resolution

Informal resolution. Before filing any claim, you agree to contact us at info@codediq.ai and attempt in good faith to resolve the dispute informally for at least 30 days. Most disagreements are resolved faster and more cheaply this way than through any formal process.

Nothing in this section limits either party’s right to seek injunctive relief in court to protect intellectual property or confidential information, or to bring an individual claim in small claims court.

18. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Coded IQ regarding the Site and supersede any prior understandings regarding the Site.

Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions stay in effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms without our written consent. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.

No third-party beneficiaries. These Terms create no rights in any third party.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.

Export and sanctions compliance. You represent that you are not located in, and are not a national or resident of, any country subject to U.S. embargo, and that you are not on any U.S. government restricted-party list. You agree to comply with all applicable export control and sanctions laws in connection with your use of the Site.

U.S. government users. Any content provided through the Site is “commercial computer software” or “commercial computer software documentation” as defined in FAR 12.212 and DFARS 227.7202, provided with only those rights granted to all other users under these Terms.

Changes to these Terms. We may update these Terms from time to time. The revised version takes effect when posted, and we will update the “Last updated” date. If changes are material, we will provide reasonable notice. Your continued use of the Site after that constitutes acceptance.
